The Reserve Bank of India has consistently emphasized that Boards must provide effective strategic direction and oversight while maintaining an appropriate separation between governance and dayto-day management. RBI’s expectations extend beyond regulatory compliance to include the quality of Board deliberations, risk appetite and culture, internal controls, business-model resilience, customer and conduct risks, technology and cyber resilience, and the effectiveness and independence of assurance functions.
In this context, Non-Executive Chairmen and Directors need the ability to critically evaluate management proposals, ask the right questions, challenge constructively, interpret increasingly complex Board information and exercise effective oversight without micromanaging.
