Background

The role of Company Secretaries and Board Secretariat professionals in banks, financial institutions and NBFCs has evolved from ensuring statutory compliance to serving as strategic partners in corporate governance. They play a pivotal role in enabling effective Board functioning, facilitating high-quality decision-making, ensuring regulatory compliance and fostering a strong governance culture. Recent regulatory developments by the Reserve Bank of India, SEBI and the Ministry of Corporate Affairs, together with increasing focus on governance, conduct, digital resilience, related-party transactions, disclosure standards, ESG and technology adoption, have significantly expanded the responsibilities of the Board Secretariat. Heightened supervisory expectations require Company Secretaries to combine regulatory expertise with strategic judgement, stakeholder management and an understanding of evolving governance practices. Against this backdrop, the programme is designed to provide participants with a comprehensive understanding of emerging governance expectations and the evolving strategic role of the Company Secretary.   • Banks may depute another officer if the nominated officer is unable to attend.
