Objective of the Program

This Virtual Learning Program (VLP), the first of its kind, will provide unique learning opportunity to the Company Secretaries (CS) and Secretaries to the Boards (SB) working in the financial sector.

The VLP seeks to blend both micro aspects pertaining to the functioning of CSs/SBs and larger aspects relating to governance, board governance and corporate governance of banks and other financial intermediaries. It has forward looking approach in terms of which it would explore the evolving role of CSs and SBs and at the same time it will also focus on skills needed for effective role play in the current context.

The VLP will provide a forum to the CSs and SBs for experience-sharing and cross learning against the background of recent developments which have brought these professionals to the center stage of corporate governance. Against the backdrop of greater emphasis laid on compliance with the LODR and Secretarial Standards, the Program would deliberate on the issues that lie at the intersections of the compliance functions and Secretarial functions.

  • Introductory- Corporate Governance Framework, Bank Governance System, Board Governance Processes and Board Meetings          
  • Changing Corporate Governance Framework and Bank Governance System: Evolving Role of CS and SB.   
  • A Dialogue between CS and SB: Gleaning and Learning the Good Practices from Each Other.           
  • Role of CS/SB in Board Governance: What a Chairperson of the Board Expects.     
  • Implementation of Secretarial Standards in Banks and Financial Institutions.                
  • Secretarial Standards and Financial Regulations on Governance: LODR, BR Act and RBI Regulations.              
  • Compliance, Risk Management, Governance and Ethics: An Overview   
  • Secretarial Audit, Compliance Management and Due Diligence.         
  • Technical Content Drafting : Technicalities, Nuances and Presentations

Program Description

 ·         Program fee is payable before the program.
Banks may depute another Officer if the nominated officer cannot attend the program.
